LiveHive Terms of Use

Please read these terms of use carefully as they contain important information regarding your legal rights, remedies and obligations. These include various limitations and exclusions, a clause that governs the jurisdiction and venue of disputes, and obligations to comply with applicable laws and regulations. By using our Services, you agree to be bound by these Terms. If you don't agree to be bound by these Terms, you should not use the Services.

By signing up to LiveHive's Platform, You agree that You are a duly authorized representative of the Customer and You have read, understood and are bound by this Agreement.

LiveHive may amend this Agreement from time to time. We commit to sending an email to the email address associated with Your Account and posting a written notice on Our Site 30 calendar days before any changes go into effect, provided such changes are not mandated by law to take effect on an earlier date. You understand and agree that you will be deemed to have accepted the updated Terms of Use if you continue to use our Services after the new Terms of Use takes effect.

Scope of Services

LiveHive is a behavioral insights platform that collects and analyzes real-time, passively gathered data to help businesses understand how people interact with apps, websites, and offline environments. Our services are used for research, analytics, and audience insights. We do not identify individual users. Instead, we surface patterns and trends that inform smarter decisions across industries.

Agreement to Terms

All access to any part of https://www.livehive.io ("Websites") is governed by the terms of use ("Terms") below and our Privacy Policy. The Websites referred to as "LiveHive". If you do not accept any of these Terms, please discontinue the use or access of LiveHive immediately.

By continuing, you acknowledge that you have read and understood these Terms and agree to be bound by these Terms.

We may update these Terms from time to time. LiveHive reserves the right to change these terms and conditions at any time at its sole discretion. Amendments shall take effect immediately when posted on LiveHive. Your continued use of LiveHive thereafter represents your agreement to any such amendments.

In these Terms, the words "we", "our" and "us" refer to LiveHive Tech FZ-LLC ("LiveHive")

Access to LiveHive

The accessibility and operation of LiveHive rely on systems, databases and technologies that may not be entirely within our control. We do not guarantee continuous accessibility or uninterrupted operation of LiveHive. We will not be liable to you if, for any reason, access to LiveHive is delayed or unavailable for any period of time.

We may at any time change, suspend, or discontinue LiveHive, any of its content, and/or access to part or all of it, without notice and for any reason.

During the use and access to LiveHive, you are required to:

comply with all applicable local and international laws and regulations when using LiveHive;
not access any information or data concerning another person without his/her permission;
not use LiveHive in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, including viruses, bugs or harmful data, into LiveHive or any computer system;
not infringe our intellectual property rights or those of any third party in relation to your use of LiveHive;
not submit, publish, transmit, post or upload any material that is factually inaccurate, misleading, deceptive, in contempt of any court, defamatory, offensive, threatening, discriminatory, racist, seditious, obscene, pornographic, indecent, or otherwise objectionable to the general public in relation to your use of LiveHive;
not use LiveHive in a way that could damage, disable, overburden, impair or compromise our systems, databases, servers or security or interfere with other users; and
not collect or harvest any information or data from our systems or attempt to decipher any transmissions to or from the servers running any features, services, tools, directories or content on LiveHive.

In the event of a non-compliance with the above requirements we reserve the right to terminate or restrict your access to part or all of LiveHive for any reason at any time without prior notice. This does not affect your right to data portability and deletion.

Account Registration

In order to use certain features of the Service, you may need to register your Account ("Profile") and provide certain information about yourself as prompted by the registration form.

If you register the Account, you represent and warrant to the LiveHive that: (i) all required registration information you submit is truthful and accurate; (ii) you will maintain the accuracy of such information; (iii) take all reasonably necessary steps to protect the Account password from loss, theft, or unauthorized disclosure and (iv) your use of the Service does not violate any applicable law or regulation or these Terms. Otherwise, the Service may not operate correctly, and LiveHive may not be able to contact you with important notices regarding the Service.

You use Our Site or Platform on behalf of a legal entity (such as Your employer or a client), You represent and warrant that You have the authority to bind that legal entity. If You no longer have this authority, then You will inform LiveHive and the legal entity will provide LiveHive with a new authorized representative. LiveHive will not be held liable should a person without the necessary authorization enter into this Agreement for and on behalf of a legal entity.

The Company reserves the right to suspend or terminate your Profile or your access to the Service, with or without notice to you, in the event that you breach these Terms.

You are responsible for maintaining the confidentiality of your Profile login information and are fully responsible for all activities that occur under your Profile. You agree to immediately notify the Company of any unauthorized use, or suspected unauthorized use of your Profile or any other breach of security. The Company cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

Subscription Fees and Payment

Information about Our Subscription Plans can be found on Our Site. Unless otherwise required by Applicable Law and subject to the requirements of Applicable Law, Fees quoted on Our Site do not include taxes that may be applicable in Your jurisdiction. You are responsible for paying all taxes in connection with the purchase of any Platform. For additional information on Our Subscription Plans and for Platforms with our Affiliates, please contact us at privacy@livehive.io. You may upgrade or downgrade Your subscription in the billing section of Your Account.

Trial Period: At the end of the Trial Period, You will be prompted to enter Your payment details if You have not already done so. If You've already updated Your payment method You will be automatically charged on the date shown on the billing section associated with Your Account.

Renewal Term: Unless the owner of Your Account upgrades or downgrades Your Subscription Plan, You will be enrolled into an automatic renewing cycle for the same term at the conclusion of the Subscription Term (the "Renewal Term" and together with the Subscription Term, the "Term"). This applies to all Subscription Plans involving payment including monthly and annual renewals. For all Subscription Plans or Order Forms with a term of one year or more, You agree to give written notice of Your intent not to renew at least thirty (30) days prior to the end of the then-current term.

Links to Third Party Websites or Resources

LiveHive may provide links to other websites, which we believe may be of interest to you, owned and/or operated by third parties who are not related or affiliated to the LiveHive ("Linked Websites"). The Linked Websites are provided for your convenience and information only, and the inclusion of any Linked Websites does not imply any endorsement or approval of the Linked Websites by LiveHive.

LiveHive does not control or have any supervision over, and is not responsible for, the content, hyperlink, accuracy or privacy policies of any of the Linked Websites and makes no representation or warranty with respect to the content thereof. You use the Linked Websites entirely at your own risk. LiveHive is not a party to any transaction or arrangement between you and any of the Linked Websites. Your use of the Linked Websites is subject to the terms and conditions of such Linked Websites.

LiveHive shall not be liable or responsible in any way for any user generated content. LiveHive does not have any control or supervision over, and is not responsible for, what users access through LiveHive and is not responsible for any inappropriate, offensive, obscene, infringing, unlawful or otherwise objectionable or illegal user generated content you may encounter on LiveHive or arising from your use of LiveHive.

Intellectual Property

All rights, title, and interest in the Platform and SDK remain the property of LiveHive Tech FZ-LLC. Unless otherwise specified, the Platform is for Your limited use only and if You copy or download any information from this Site and/or Platform, You agree that You will not remove or obscure any copyright or other notices contained in any such information.

Behavioural data passively collected and provided to you for the purpose of behavioural analysis and market research is anonymised and cannot be linked to individuals.

You may use aggregated insights provided by LiveHive solely for internal research and analysis. These outputs may not be re-sold or publicly distributed without LiveHive's prior written consent.

Warranties

Each party represents and warrants to the other party that: (a) the Agreement has been duly executed and delivered and constitutes a valid and binding agreement enforceable against it in accordance with the terms of the Agreement; (b) no authorization or approval from any third party is required in connection with its execution of the Agreement; and (c) it will materially comply with all applicable federal, state, local, court orders, or other laws and regulations applicable to the performance of its obligations under the Agreement.

Limitations of Liability

In no event will LiveHive or any of its representatives be liable to You or any Third Party for any direct, indirect, special, exemplary, punitive or other consequential or incidental damages (including but not limited to any lost profits or revenue, interruption, loss of programs or other information, or any other measurable loss) arising directly or indirectly from:

Your use of or access to Our Site and/or Platform, or any content, products or services distributed on or provided through Our Site and/or Services;
for any failure or interruption of Our Site and/or Platform; or
the information, acts, omissions or negligence of or relating to any Third Parties;

whether arising out of errors, omissions, loss of Data, defects, viruses, interruptions or delays in operations or transmission or any other cause, whether based on warranty, contract, tort (including negligence) or any other legal theory, even if LiveHive or its suppliers have been expressly advised of the possibility of such damages. This limitation of liability does not apply to direct damages for which LiveHive is liable due to LiveHive's violation of a Third Party's Intellectual Property Rights.

In any event, LiveHive's total maximum aggregate liability under this Agreement, will not exceed Your monthly subscription fee.

These limitations do not apply in case LiveHive has willfully caused the damage.

We are not liable for indirect, incidental, or consequential damages unless caused by willful misconduct.

We are not liable for any failure or delay caused by force majeure events, including but not limited to natural disasters, wars, pandemics, or civil disturbances.

Data Protection

The data about you and your organization processed through the use of the Platform is and will remain yours. Other aspects of our data practices are governed by the Privacy Policy, in compliance with GDPR, UAE PDPL, KSA PDPL, and other applicable laws.

Indemnity

You agree to indemnify and hold LiveHive and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees), arising out of or in connection with: (i) your use of the Services or services or goods obtained through your use of the Services; (ii) your breach or violation of any of these Terms; (iii) LiveHive's use of your User Content; or (iv) your violation of the rights of any third party, including Third Party Providers.

Confidential Information

During and after the Term, we each agree to (a) use Confidential Information solely for the purposes of this Agreement, (b) not copy, disseminate, or disclose Confidential Information to any person, except at the Your request or the request of the Receiving Party's or its Affiliates' employees, authorized representatives, contractors and advisers who need to know the Confidential Information for the purposes of this Agreement and are bound by confidentiality obligations at least as restrictive as those in this Section, and (c) protect all Confidential Information with at least the same degree of care as it protects its own information of a similar nature. Nothing in this Agreement will transfer the ownership of Confidential Information to the Receiving Party.

We each agree that if the Receiving Party is required by law to disclose Confidential Information, such Party will give prompt written notice to the Disclosing Party before making the disclosures, unless prohibited by law or administrative process. including Confidential Information if LiveHive is required to do so by mandatory law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with a legal process; (b) enforce this Agreement; (c) respond to claims that any of Your content and/or Data violates the rights of Third Parties; or (d) protect the rights, property, or personal safety of LiveHive, the Site, the Platform, its users, and the public.

Governing Law and Jurisdiction

These Terms, and any disputes arising out of them, shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Where applicable, we comply with GDPR, UAE PDPL, KSA PDPL, US laws, and other relevant regulations.

If there is a conflict between UAE law and stricter mandatory provisions under other applicable data protection laws, the stricter provisions shall prevail.

Disputes shall be exclusively settled by the courts of Dubai, UAE.
